1. INTRODUCTION
NOVA8 is a company operating in the information technology sector, aiming for its growth within ethical principles and the satisfaction of its clients and similar institutions, always striving to maintain a solid reputation, with the awareness of its social and environmental responsibility. Its activities must always be guided by integrity, trust, and loyalty, as well as by respect and appreciation of the human being and
their privacy, individuality, and dignity, without any prejudice and forms of discrimination.
2. OBJECTIVE
This Code of Ethics aims to resolve issues related to: (i) compliance with coexistence rules in the workplace without distinction of hierarchy, areas, or roles performed; (ii) transparency in operations in general; (iii) the safety of the professionals involved; and (iv) the security and confidentiality of information that must be protected by confidentiality.
3. SCOPE
The Code of Ethics includes conduct guidelines based on ethical and moral standards that will serve as a reference for the behavior of all employees, internal and external, and its application applies to all members of the NOVA8 staff, in the exercise of their functions, including service providers, suppliers, and business partners
linked to the institution.
4. DISCLOSURE
This Code of Ethics is publicly available on the Company’s website at http://www.nova8.com.br for employees to consult at any time. It is the responsibility of the Company’s Legal Representative to: (i) ensure compliance with this Code of Ethics;
(ii) inform new employees about the Code of Ethics, maintaining a record of their acknowledgment and agreement; (iii) promote wide dissemination of the Code and its updates to the Company’s staff, clients, service providers, and suppliers; (iv) clarify doubts and verify understanding regarding the content and application.

6. ETHICAL PRINCIPLES
The managers and employees of NOVA8 guide their actions by the following principles, in dealing with various sectors of society, ensuring:
6.1. TO CLIENTS
6.1.1. Professionalism, trust, and transparency;
6.1.2. Availability of solutions that add value to their clients’ businesses, constantly investing in finding suitable technologies and improving business strategies;
6.1.3. Valuing and respecting compliance with agreements and contracts, as well as the rights of their clients;
6.1.4. Valuing business opportunities and partnerships built with their clients, aiming for results benefiting society;
6.1.5. Identifying, proposing, and enabling innovative and integrated solutions that contribute to reinforcing the legitimacy and support of their clients.
6.2. TO GOVERNMENT AGENCIES
6.2.1. Recognition of the role and support to the actions of the controlling bodies, providing them with relevant and reliable information timely;
6.2.2. Knowledge of the terms of the Brazilian Anti-Corruption Law (Law No. 12.846/2013) and any other national or international provisions concerning Combating Corruption, and refraining from any conduct that may constitute a harmful act to public administration, national or foreign.
6.3. TO PEOPLE
6.3.1. Maintaining a work environment where relationships are based on professionalism, trust, cooperation, integration, respect for individual differences, and civility;
6.3.2. Sharing knowledge and experiences, seeking technical capacity enhancement, methods, and processes, to achieve better overall Company results;
6.3.3. Valuing people, contributing to their personal, technical, and professional development;
6.3.4. Constant care for the proper and economical use of the Company’s material, technical, and financial resources;
6.3.5. Preservation and respect for the image, assets, and interests of the Company;
6.3.6. Recognition and appreciation of the Company’s intellectual capital and encouragement of the emergence of new leadership;
6.3.7. Valuation and encouragement of individual and collective ethical conduct.
6.4. TO SUPPLIERS AND OUTSOURCING COMPANIES
6.4.1. Legality, impartiality, morality, publicity, and efficiency in all acts performed;
6.4.2. Maintaining a relationship based on mutual respect, preservation, and confidentiality of information pertaining to the Company and its clients;
6.4.3. Relationships with suppliers and partners that have practices harmonious with the ethical standards adopted by NOVA8 and social morals;
6.4.4. Establishing partnerships, provided that the image and interests of NOVA8 are preserved;
6.4.5. Rejection of contractual provisions that affront or diminish the dignity, quality of life, and social well-being of outsourced employees.
6.5. TO EMPLOYEE REPRESENTATION, ASSOCIATIONS, AND INSTITUTIONS
6.5.1. Recognition of legitimacy and maintenance of a permanent dialogue with legally constituted worker representative institutions, maintaining channels of dialogue based on mutual respect, seriousness, responsibility, and transparency in relationships;
6.5.2. Negotiation as an appropriate instrument to seek integration and convergence;
6.5.3. Compliance with the determinations outlined in the instruments regulating the Company’s relationship with its employees.
6.6. TO THE COMMUNITY
6.6.1. Establishing fair and balanced relationships with the community through encouragement, promotion, support, and participation in social responsibility and citizenship actions;
6.6.2. Encouragement, support, and participation in governmental actions aimed at social development and combating poverty;
6.6.3. Encouraging sociocultural and sports initiatives of its employees.
7. CORPORATE CODE OF CONDUCT
The managers and employees of NOVA8 must guide their behavior according to this Corporate Code of Conduct, as outlined below.
7.1. Acceptable conduct for the managers and employees of NOVA8:
7.1.1. Preserve and cultivate the positive image of the Company;
7.1.2. Market, within the Company’s premises, only products and services owned and of interest to NOVA8;
7.1.3. Develop conditions conducive to establishing a productive and pleasant work environment;
7.1.4. Treat people and their ideas with dignity and respect;
7.1.5. Act with loyalty, fairness, and transparency in work relationships;
7.1.6. Preserve the well-being of the community, respecting personal characteristics, freedom of opinion, and each other’s privacy;
7.1.7. Act with clarity and loyalty in defending NOVA8’s interests;
7.1.8. Present themselves appropriately for the performance of their duties and activities at the Company;
7.1.9. Refrain from using internal or external influences to gain personal and functional advantages;
7.1.10. Refrain from using the position, the position of trust occupied, or the employee status at NOVA8 to gain advantages for themselves or third parties;
7.1.11. Utilize NOVA8’s resources only for purposes of the Company’s interest;
7.1.12. Contribute to the smooth operation of the entire Company by refraining from acts and attitudes that prevent, hinder, or disrupt service provision;
7.1.13. Decline gifts or presents from individuals and/or legal entities that have commercial relations with NOVA8 exceeding R$ 200.00 (Two Hundred Reais).
7.1.14. Prepare and present information reflecting real positions and economic, financial, operational, logistic results, and any others affecting the
Company’s performance;
7.1.15. Prioritize and preserve NOVA8’s interests with clients, government agencies, financial institutions, suppliers, entities, and other companies with which NOVA8 maintains commercial relationships;
7.1.16. Be accompanied by another employee or the management or a peer when maintaining any relationship with a supplier or partner that results or may result in a contract meeting NOVA8’s interest or need;
7.1.17. Strict adherence to the strategic business guidelines and direction upon assuming a position of trust in the Company; and,
7.1.18. Resign from the position of trust to which you have been appointed, when there is a dissonance with the company’s strategic guidelines and directions.
7.2. Unacceptable conduct for NOVA8 leaders and employees:
7.2.1. Claim benefits or personal advantages for oneself or third parties, as a result of commercial or financial relationships established in the name of NOVA8 with clients, government bodies, financial institutions, suppliers, entities, and other companies with which NOVA8 maintains this relationship;
7.2.2. Be complicit or negligent regarding errors and violations of this Code of Ethics and the current legal and regulatory provisions;
7.2.3. Engage in other professional activities during working hours, whether for profit or not, or, regardless of the compatibility of schedules, engage in
activities that constitute harm, direct or indirect competition with NOVA8’s activities;
7.2.4. Engage in any type of discrimination against people for economic, social, political, religious, color, race, or gender reasons;
7.2.5. Allow persecutions, sympathies, antipathies, whims, passions, or personal interests to interfere in their professional relationships;
7.2.6. Deliberately harm the reputation of an employee of the Company or any other professional with whom NOVA8 maintains a commercial relationship;
7.2.7. Deliberately harm the reputation of clients, government bodies, suppliers, entities, and other companies with which NOVA8 maintains a commercial relationship;
7.2.8. Solicit, request, or receive gifts or advantages of any kind, for oneself or third parties, beyond the mere insinuation or provocation for the benefit offered, in exchange for concessions or privileges of any nature with NOVA8;
7.2.9. Prioritize and preserve personal interests, of clients, government bodies, financial institutions, suppliers, entities, and other companies, to the detriment of NOVA8’s interests;
7.2.10. Obtain advantages, for oneself or third parties, resulting from privileged access to information from NOVA8, even if it does not result in harm to the Company;
7.2.11. Use for personal benefit or pass on to third parties, documents, work, methodologies, products, tools, services, and information owned by NOVA8 or its clients and suppliers, except by legal or judicial determination;
7.2.12. Express oneself in NOVA8, through any means of public dissemination, when not authorized or qualified to do so;
7.2.13. Make inappropriate and uneconomical use of the Company’s material, technical, and financial resources;
7.2.14. Prevent or hinder the investigation of irregularities committed in the Company;
7.2.15. Alter or distort the content of any document, information, or data for which the Company or third parties are responsible;
7.2.16. Facilitate actions by third parties that result in damage or harm to the Company;
7.2.17. Create any type of asset confusion between the Company’s assets and one’s own, regardless of whether pecuniary advantages result from this confusion; and
7.2.18. Remain in the position of trust to which you have been appointed, when there is a dissonance with the company’s strategic guidelines and directions.
8. COMPLIANCE WITH THE CODE OF ETHICS
In case of doubts about the correct conduct to adopt, the employee should seek help sincerely and transparently.
Any situation that may characterize a conflict of interest, or facts that may harm the Company or contradict the principles of this Code, should be immediately and formally reported to the Company’s Legal Representative.
The Company ensures confidentiality in handling these matters and is committed to investigating the reported cases.
Situations that may not be explicitly stated here will be treated as exceptions and referred to the Company’s Legal Representative, who will analyze and decide according to the principles of this Code.
This Code of Ethics reflects the values and culture of NOVA8 and its compliance reveals the commitment to professionalism and transparency in all our actions at work.
Violation of the Code of Ethics will subject employees to disciplinary actions, which may result in their dismissal for cause and in legal proceedings.
Everyone who relates directly or indirectly with NOVA8 must know and ensure the compliance with this Code, having the same ethical commitments,
regardless of the position they hold.
Non-compliance with any of the practices and/or procedures described here may affect the credibility of NOVA8’s institutional image, before clients, market, supervisory and regulatory bodies, government, and society in general.
This Code of Ethics is presented during the onboarding process for each new NOVA8 employee and also at the beginning of the commercial relationship with new suppliers.
